Lending and Commercial Transactions

Our lawyers have experience with private and public companies in many different business sectors and assist both companies and individual officers and directors in navigating the securities regulations that apply to them.

Taxation
Our tax lawyers offer extensive experience in federal, state and local tax matters with an extensive expertise often found only at much larger law firms. We advise clients in all areas of taxation including federal, state and local taxation. We represent corporations as well as limited liability companies, partnerships, joint ventures, financial institutions, investors, entrepreneurs and individuals. We represent clients on an on-going basis in transactional matters, as well as with respect to operating issues such as depreciation, inventory, leasing and tax accounting.

We also assist with business formation issues, special structuring and issues dealing with restructuring, dissolutions, distributions and retirement. The firm employs certified public accountants and well as attorneys with advanced tax degrees.

Trademark and Copyright
We advise clients on ways to protect their interests in intellectual property through trademark and trade name registration, and copyright protection. Our lawyers have negotiated and drafted licensing agreements for many types of technology, products and software owned or used by our clients in their businesses or personal lives.
